This Data Processing Addendum (DPA) describes how GreenSpark Cleaners Inc. processes personal information on behalf of its clients as a service provider, and forms part of the applicable service agreement.
1. Definitions
In this DPA, "Client" means the organization on whose behalf data is processed; "Personal Information" means information about an identifiable individual; and "Processing" means any operation performed on Personal Information, such as collection, use, storage, or disclosure.
2. Processing Instructions
GreenSpark processes Personal Information only as necessary to provide the agreed services and in accordance with the Client’s documented, lawful instructions, unless otherwise required by applicable law.
3. Confidentiality
GreenSpark ensures that personnel authorized to process Personal Information are bound by appropriate confidentiality obligations and access the information only as needed to perform their duties.
4. Security Controls
We maintain administrative, technical, and physical safeguards appropriate to the sensitivity of the information, including access controls, encryption, monitoring, and secure disposal practices.
5. Subprocessors
Where we engage subprocessors to assist in providing services, we require them to be bound by data protection obligations consistent with this DPA and remain accountable for their processing of Personal Information.
6. Data Retention
Personal Information is retained only for as long as necessary to deliver the services and meet legal and contractual obligations, after which it is securely deleted or returned to the Client.
7. Data Breach Notification
In the event of a breach of security safeguards involving Personal Information, GreenSpark will notify the affected Client without undue delay and cooperate in investigating and mitigating the incident, consistent with PIPEDA requirements.
8. Cross-Border Transfers
Where Personal Information is processed or stored outside Canada, we take reasonable steps to ensure it receives a comparable level of protection and that applicable legal requirements are met.
9. Termination
Upon termination of the service agreement, GreenSpark will, at the Client’s direction, securely delete or return Personal Information, except where retention is required by law.
